Please read our Terms of Service, Privacy Policy, Acceptable Use Policy, and Service Level Agreement before using dediroom.com or any service provided by Dediroom LLC.

By accessing or using our website and services, you agree to all applicable terms and policies. If you do not agree, you must not use our services.

2. Eligibility

You may not use our services or provide personal information if you are under the minimum legal age required in your country to consent to the processing of personal data.

In all cases, the minimum age to use our services is 16 years old, unless a lower age is expressly permitted under applicable law in your jurisdiction.

3. Lawful Use Only

All services provided by Dediroom LLC must be used for lawful purposes only. The transmission, storage, distribution, or presentation of any material in violation of any applicable law is not permitted.

• Pirated software or warez
• Hacker programs, cracking tools, or exploit archives
• Hate speech or extremist content
• Child exploitation material or unlawful obscene content
• Copyright-infringing content such as movies, TV shows, books, or images
• Unlawful adult or sexual material
• Cryptocurrency mining using our services, unless expressly authorized in writing by Dediroom LLC

4. Traffic Usage

Some services include a predefined traffic or bandwidth allocation. Any usage beyond the included limit may result in overage charges, traffic limitation, suspension, or other corrective action at our sole discretion.

5. Server Abuse

Any attempt to undermine, exploit, interfere with, or cause harm to a server, service, customer, or network of Dediroom LLC is not permitted under these Terms.

You are responsible for all actions performed through your account, services, users, resellers, or downstream clients.

6. Reseller Responsibility

Customers who resell or provide access to Dediroom LLC services to third parties are considered resellers and assume full responsibility for all downstream activity.

• Resellers are fully responsible for all downstream users, clients, and activities conducted through their services.
• Resellers must ensure that all downstream customers comply with these Terms and our Acceptable Use Policy.
• Any violation by a downstream user will be treated as a violation by the reseller account holder.
• Dediroom LLC reserves the right to suspend or terminate reseller accounts at our sole discretion if downstream activity creates legal, reputational, or network risk.
• Resellers may not grant downstream users more rights or permissions than those granted to the reseller under these Terms.

7. Content Liability

Dediroom LLC acts solely as an infrastructure provider. We do not monitor, control, or assume responsibility for any content stored, transmitted, or published by customers on our network.

• Customers are solely and fully responsible for all content hosted on Dediroom LLC infrastructure.
• Dediroom LLC shall not be liable for any claims, damages, or legal actions arising from customer content.
• Upon receiving a valid legal notice or complaint, we reserve the right to act at our sole discretion, including restricting or removing access to content, without prior notice to the customer.

8. Refusal, Suspension, or Cancellation of Service

We reserve the right to refuse, suspend, restrict, cancel, or terminate any service at our sole discretion where we believe these Terms, our policies, or applicable laws have been or may be violated.

• We reserve the right to refuse service to any individual or entity based on internal risk assessment, without being required to disclose the specific reason.
• All sub-networks, resellers, downstream clients, and dedicated services must comply with these Terms.

9. Billing

Invoices are generally generated 7 days prior to the applicable due date. Payments must be received no later than the due date stated on the invoice.

Dediroom LLC may charge the payment method on file or issue an invoice by email or through the client area. Payment methods may be charged automatically unless you request otherwise at least 48 hours before the due date.

It is your responsibility to maintain valid payment information and ensure sufficient funds are available.

10. Suspension and Termination for Non-Payment

If payment is not received by the due date, reminder notices may be sent and the service may be suspended after 48 hours.

Starting from midnight (EST) of the 3rd day after the due date, unpaid services may be terminated at our sole discretion.

After termination, we do not guarantee recovery of data, IP addresses, licenses, promotional pricing, attached devices, or other service-related configurations.

11. Service Fees

Some services may include setup fees, installation charges, or recurring fees. These charges must be paid in full to provision or maintain service.

If you cancel a service during an active billing cycle, you remain responsible for the full fees for that cycle. Charges are not prorated unless we expressly agree otherwise in writing.

12. Fraud and Payment Verification

We reserve the right to request verification documents or additional information for any order to prevent fraud, validate identity, confirm payment ownership, or assess risk.

No service delivery or support obligation begins until the verification process is completed and approved where requested.

15. Trial Periods

We do not offer trial periods for dedicated servers, VPS, or any other service unless explicitly stated otherwise in writing.

16. Datacenter Locations

While most advertised locations reflect the intended datacenter region, Dediroom LLC reserves the right to deploy a server in a nearby facility within the same country when operationally required.

Customers who require exact physical placement should contact support before placing an order.

17. Limitation of Liability

To the maximum extent permitted by law, Dediroom LLC shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including but not limited to loss of profits, loss of business, data loss, corruption, deletion, service interruption, or downtime.

Our total liability for any claim shall not exceed the amount paid by the customer for the affected service during the relevant billing period.

18. Prices and Taxes

Unless expressly stated otherwise, all prices displayed on the website or agreed with the customer exclude applicable taxes, including sales tax, VAT, GST, or similar charges.

Dediroom LLC reserves the right to change pricing, tariffs, and recurring fees at any time, including at the point of service renewal.

• For active recurring services, we will provide at least 30 days' written notice before any pricing change takes effect.
• The new price will apply from the next renewal date following the notice period.
• If you do not agree to the new pricing, you may cancel your service before the renewal date. Continued use of the service after the renewal date constitutes acceptance of the updated price.
• Promotional or introductory pricing is not guaranteed to continue upon renewal and may revert to standard rates.

19. Uptime Guarantee

For eligible services in Tier 1 locations, Dediroom LLC targets 99.99% uptime for core service availability, subject to the terms and exclusions of our Service Level Agreement (SLA).

Any applicable service credits for qualifying downtime are governed exclusively by the SLA.

20. Reporting Violations

All complaints may be investigated, and failure to comply with any provision of these Terms may result in suspension or termination at our sole discretion.

21. Delivery Time

Most services are delivered within 48 hours, unless otherwise stated on the product page.

Delivery times may vary depending on stock availability, datacenter processing speed, verification requirements, hardware preparation, or upstream delays, and may extend to 5 business days or more in some cases.

24. Data Loss & Backup Responsibility

Dediroom LLC provides infrastructure services only and is not responsible for the loss, corruption, deletion, or inaccessibility of any customer data under any circumstances.

• The customer is solely and entirely responsible for maintaining up-to-date backups of all data stored on Dediroom LLC infrastructure.
• Dediroom LLC does not guarantee the availability, integrity, or recoverability of any data following termination, suspension, hardware failure, migration, or any other event.
• We strongly recommend that customers implement independent, off-site backup solutions at all times.
• Any optional backup services offered by Dediroom LLC are provided as a convenience only and do not replace the customer's own backup obligations.
• Dediroom LLC shall not be liable for any loss of revenue, profits, business, or data resulting from data loss, regardless of the cause.

27. Policy Changes

We reserve the right to amend, update, or modify these Terms, pricing, policies, and service conditions at any time.

Continued use of the services after any update constitutes acceptance of the revised Terms.
